DGB Group N.V. (“DGB” or “the Group”) (Euronext: DGB: NL000916951), a leading carbon project developer and ecosystem restoration company, announces the successful completion of its share buy-back programme conducted over the past six months. During this period, 5.7 million shares were repurchased, fully achieving the set target. This represents a significant step in the optimisation of DGB's financial structure.
Programme duration: The buy-back programme commenced on 28 June 2024, and was completed as planned six months later on 27 December 2024.
Scope of share buy-back: The programme aimed to repurchase up to 5.7 million ordinary shares, representing 50% of DGB's issued share capital, including both listed and unlisted shares. A total of 5.7 million shares were repurchased, achieving 100% of the target. The total financial scope of the buy-back programme was €5.56 million.
Summary of share buy-back: A total of 5,525,000 unlisted shares were acquired through the redemption of loan notes, contributing to the optimisation of DGB's financial structure. Shares traded on the open market were repurchased at prices ranging from €0.62 to €0.90.
Regulatory compliance: All share buy-back activities were conducted in strict compliance with the Market Abuse Regulation (EU) No. 596/2014 and the Commission Delegated Regulation (EU) 2016/1052.
The successful completion of the share buy-back programme highlights DGB’s strategic approach to capital management. The programme was specifically designed to meet obligations under the employee share option and incentive programme, enhance long-term shareholder value and optimise DGB's financial structure.
