DGB Group N.V. (Euronext: DGB, “DGB” of de “Vennootschap”) maakt vandaag bekend dat zij erkent dat haar benoemingen tot niet-uitvoerende bestuurders in september 2021 nietig zijn krachtens Nederlands recht.
Op basis van de recente juridische analyse van de aandeelhoudersbesluiten van de Vennootschap met betrekking tot de benoeming van mevrouw Van der Meulen en de heer Den Hartog als niet-uitvoerende bestuurders, gedateerd 15 september 2021, erkent de Raad van Bestuur van de Vennootschap dat de aandeelhoudersbesluiten genomen in strijd met de statuten van de vennootschap, die een bindende voordracht van de houder(s) van de prioriteitsaandelen vereisten, en zijn derhalve nietig op grond van artikel 2:14 lid 1 BW. De vennootschap was voornemens alle prioriteitsaandelen in te kopen, maar heeft niet alle wettelijke formaliteiten voor de inkoop en overdracht aan de vennootschap van de prioriteitsaandelen correct uitgevoerd. Dit betekent dat de Raad van Bestuur van de Vennootschap momenteel bestaat uit één uitvoerend bestuurder, de heer Duijvestijn. De Raad van Bestuur analyseert momenteel of de bestuurdersbenoemingen kunnen worden bekrachtigd door de huidige houder(s) van de prioriteitsaandelen en/of de inkoop en overdracht van de prioriteitsaandelen kan worden afgerond.
Verdere aankondigingen zullen door het Bedrijf worden gedaan indien en wanneer vereist in overeenstemming met de toepasselijke wet- en regelgeving.
